1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of dryello.com and related webpages, content, features, and online purchasing functions (collectively, the "Site"), and purchases made directly through the Site. The Site is operated by Propedix, Inc. ("Propedix," "Dryello," "we," "us," or "our").

By accessing or using the Site, creating an account, or placing an order through the Site, you agree to these Terms. If you do not agree, do not use the Site. Certain products, promotions, or services may be subject to additional terms or official rules; if there is a conflict, the more specific terms govern that product, promotion, or service.

2. Eligibility and Account Responsibility

You must be at least 18 years old to place an order through the Site, or use the Site under the supervision of a parent or legal guardian who agrees to these Terms. You agree to provide accurate, current, and complete information when placing an order or creating an account.

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account. Notify us promptly at hello@dryello.com if you believe your account or credentials have been compromised.

3. Dryello Products; Product Labeling; Health Information

Dryello offers over-the-counter drug and personal-care products. Product descriptions, educational materials, FAQs, blog content, and other information on the Site are provided for general informational and commercial purposes. They are not a substitute for individualized medical advice, diagnosis, or treatment from a qualified healthcare professional.

Always read and follow the Drug Facts label and all directions, warnings, and other labeling supplied with the product. If information on the Site differs from the product labeling, follow the product labeling. Use each product only as directed. Individual results may vary.

If you have questions about whether a product is appropriate for you, have a medical condition, are using other medications or treatments, are pregnant or nursing, or experience an adverse reaction, consult an appropriate healthcare professional. For a medical emergency, call 911 or seek immediate medical attention.

4. Orders, Pricing, and Payment

·    Order acceptance. Your order is an offer to purchase. We may accept, reject, limit, or cancel an order before shipment, including for suspected fraud, pricing or inventory errors, product availability, shipping restrictions, or other legitimate business reasons. If we cancel an order after payment has been authorized or captured, we will issue an appropriate refund.

·    Pricing and availability. Prices, promotions, product availability, and other Site information may change without notice. We may correct typographical, pricing, or other errors even after an order is submitted, subject to applicable law.

·    Payment. You authorize us and our payment processors to charge the payment method you provide for the total shown at checkout, including applicable taxes and shipping charges. Payment-card information is processed by our payment service providers.

·    Taxes. Applicable sales, use, or similar taxes will be collected where required by law.

·    Personal use and resale. Products purchased through the Site are intended for personal or household use unless we agree otherwise in writing. We may limit quantities or cancel orders that reasonably appear intended for unauthorized resale or diversion.

5. Shipping and Delivery

Available shipping methods, charges, promotions, and estimated delivery times are shown on the Site or at checkout. Delivery estimates are not guarantees and may be affected by carriers, weather, supply conditions, address errors, or events outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. Risk of loss passes to you upon delivery to the address provided, except to the extent applicable law requires otherwise. If an order is damaged, incorrect, lost in transit, or materially delayed, contact hello@dryello.com or (800) 452-7362 so that we can review the issue.

6. Refunds and Returns

Purchases made directly through dryello.com are subject to our Refund Policy, which is incorporated into these Terms by reference. Because of product safety and hygiene considerations, we generally do not accept physical returns of used or opened Dryello products. The Refund Policy explains our 30-day satisfaction guarantee and how to request a refund.

7. Electronic Communications and Marketing

When you place an order or otherwise interact with us, you may receive transactional communications relating to your order, account, security, product support, or other requested services. If you separately opt in to marketing communications, you may unsubscribe from promotional email at any time by using the unsubscribe link in the message. Unsubscribing from marketing does not stop transactional or service-related communications.

8. Promotions, Giveaways, and Special Offers

Sweepstakes, contests, giveaways, discounts, referral programs, and other promotions may be governed by separate official rules or terms. Eligibility, entry methods, promotional periods, prizes, and other conditions stated in those official rules control the promotion. A purchase is not required to enter a promotion unless lawful official rules expressly state otherwise.

9. Permitted Use and Prohibited Conduct

You may use the Site only for lawful personal or commercial interactions with Dryello and in accordance with these Terms. You may not:

·    use the Site for unlawful, fraudulent, deceptive, abusive, or harmful purposes;

·    impersonate another person or misrepresent your identity, affiliation, or authority;

·    interfere with the Site, attempt to bypass security or access controls, introduce malicious code, or probe or test systems without authorization;

·    scrape, crawl, harvest, copy, or extract Site content or data by automated means except as expressly permitted by us or by applicable law;

·    infringe or misappropriate our intellectual property rights or the rights of any third party; or

·    use the Site or our content in a manner that could damage Dryello, Propedix, our customers, or third parties.

10. Reviews, Feedback, and Other Submissions

If the Site permits you to submit a review, testimonial, comment, photograph, suggestion, feedback, or other content ("User Content"), you retain any ownership rights you have in that User Content. By submitting it, you grant Propedix a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, display, publish, adapt, and distribute the User Content in connection with our products, Site, advertising, and business, subject to applicable law and our Privacy Policy.

You represent that you have the rights needed to submit the User Content and that it is truthful, not misleading, and does not violate law or third-party rights. We may remove User Content in our discretion when permitted by law. We do not require, and you should not include, sensitive medical details in public reviews or other public-facing submissions.

11. Intellectual Property

The Site and its content, including text, graphics, photographs, videos, product names, logos, trademarks, trade dress, software, and other materials, are owned by or licensed to Propedix and are protected by intellectual-property laws. Dryello and other Propedix marks may not be used without our prior written permission, except as permitted by law. No license or ownership interest is granted to you except the limited right to access and use the Site in accordance with these Terms.

12. Third-Party Services and Links

The Site may use or link to third-party services, including payment, shipping, social-media, analytics, advertising, and ecommerce providers. We do not control third-party websites or services and are not responsible for their content, availability, security, or independent privacy practices. Your use of a third-party service may be subject to that provider's terms and privacy notices.

13. Privacy

Our collection, use, and disclosure of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference. Please review it before using the Site or providing personal information.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." PROPEDIX DISCLAIMS WARRANTIES REGARDING THE AVAILABILITY, ACCURACY, COMPLETENESS, SECURITY, OR UNINTERRUPTED OPERATION OF THE SITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

This section does not disclaim or limit any express warranty stated on product labeling, any warranty that cannot lawfully be disclaimed, or any rights or remedies that applicable consumer law does not permit us to waive.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PROPEDIX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, OR A TRANSACTION THROUGH THE SITE, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, PROPEDIX'S TOTAL LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, OR A TRANSACTION THROUGH THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PROPEDIX FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE EVENT, OR (B) $500.

The limitations in this section do not apply to liability that cannot lawfully be limited or excluded, including to the extent applicable liability for personal injury caused by a defective product, fraud, gross negligence, willful misconduct, or violation of non-waivable consumer rights.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Propedix and its affiliates, officers, directors, employees, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Site, your material violation of these Terms, or your infringement of another person's rights. This section does not require a consumer to indemnify us for our own negligence, unlawful conduct, or product defect.

17. Changes to the Site and These Terms

We may modify, suspend, or discontinue Site features and may update these Terms from time to time. When we update these Terms, we will post the revised version on the Site and update the "Last Updated" date. Material changes will apply prospectively as required by law. Your continued use of the Site after updated Terms become effective constitutes acceptance to the extent permitted by law.

18. Suspension and Termination

We may suspend or terminate access to the Site, an account, or an order when reasonably necessary to protect the Site, enforce these Terms, prevent fraud or abuse, comply with law, or protect our rights or the rights or safety of others. Provisions that by their nature should survive termination, including intellectual-property, limitation-of-liability, indemnification, governing-law, and miscellaneous provisions, will survive.

19. Governing Law and Disputes

These Terms and disputes arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, except that this choice of law does not deprive a consumer of non-waivable protections provided by the law of the consumer's state or other applicable jurisdiction.

Unless applicable law requires or permits a different forum, any judicial proceeding arising out of or relating to these Terms or the Site will be brought in a state or federal court with jurisdiction in Delaware, and the parties consent to personal jurisdiction in those courts. Nothing in this section prevents either party from pursuing a claim in a court of competent jurisdiction where applicable consumer law gives that party a non-waivable right to do so.

20. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, Refund Policy, and any additional terms expressly incorporated by reference, constitute the agreement between you and Propedix concerning the Site and direct online purchases.

Severability. If a provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

No Waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or other lawful business transaction.

Headings. Headings are for convenience only and do not alter the meaning of these Terms.
